TERMS OF USE

OVERVIEW

This website is operated by 123COURTS. Throughout the site and these Terms of Use, the terms “123COURTS,” “we,” “us,” and “our” refer to 123COURTS.

123COURTS offers this website, including the information, tools, court configuration features, products, services, and other resources available through this site, conditioned upon your acceptance of these Terms of Use and all other applicable policies, notices, and terms referenced herein.

By visiting or using this website, using the 123COURTS Court Builder, requesting a quote, submitting information through the website, placing an order, or purchasing a product from 123COURTS, you agree to be bound by these Terms of Use and all applicable policies incorporated herein by reference.

Please read these Terms carefully before accessing or using the website. If you do not agree with these Terms, you should not use the website, Court Builder, or related services or purchase products through 123COURTS.

Any new features, products, tools, or resources added to the website may also be subject to these Terms.

We reserve the right to update or modify these Terms as provided below.

SECTION 1 — ONLINE STORE TERMS

By using this website or purchasing products through 123COURTS, you represent that you are at least the age of majority in your state or jurisdiction of residence or otherwise have legal authority to enter into the applicable transaction.

You may not use our website, products, tools, or services for any illegal or unauthorized purpose or in violation of applicable laws.

You may not transmit viruses, malicious code, or other technology intended to damage, interfere with, disrupt, or compromise the website, Court Builder, systems, or services.

Violation of these Terms may result in suspension or termination of access to the website or related services.

SECTION 2 — GENERAL CONDITIONS

We reserve the right to refuse service, decline a transaction, or decline or cancel an order where reasonably necessary and permitted by applicable law, including before final order acceptance in cases involving suspected fraud, payment problems, material pricing or configuration errors, product availability, shipping limitations, misuse of the website, or violations of these Terms.

Information transmitted through the website may pass through various networks and systems and may be technically modified as necessary to conform to network or device requirements.

Payment information is processed using applicable payment-processing and security technologies.

You may not reproduce, duplicate, copy, sell, resell, commercially exploit, reverse engineer, or improperly access any portion of the website, Court Builder, services, or proprietary technology except as expressly authorized by 123COURTS or permitted by applicable law.

Section headings are provided for convenience and do not limit the meaning or application of these Terms.

SECTION 3 — COPYRIGHTS, TRADEMARKS & INTELLECTUAL PROPERTY

Unless otherwise indicated, the 123COURTS website and its content and functionality, including text, graphics, logos, icons, product presentations, photographs, illustrations, videos, court configurations, website designs, software, applications, Court Builder functionality, technology, and other materials, are owned by or licensed to 123COURTS and are protected by applicable intellectual property laws.

Permission is granted to view and use website content solely for legitimate personal or business purposes associated with evaluating, purchasing, installing, or using 123COURTS products.

No portion of the website, Court Builder, underlying software, proprietary content, product presentation, or other protected material may be copied, reproduced, modified, republished, distributed, commercially exploited, reverse engineered, or used to create a competing service or product except as expressly authorized in writing by 123COURTS or otherwise permitted by applicable law.

Images, photographs, renderings, illustrations, graphics, court designs, and other visual content displayed on the 123COURTS website may not be copied, downloaded, reproduced, republished, distributed, modified, displayed, transmitted, used for commercial purposes, or otherwise used without prior written authorization from 123COURTS, except where such use is permitted by applicable law.

Third-party trademarks, logos, product names, and other intellectual property displayed on this website remain the property of their respective owners.

SECTION 4 — ACCURACY, COMPLETENESS & TIMELINESS OF INFORMATION

123COURTS makes reasonable efforts to provide useful and accurate information. However, information available through the website may occasionally contain errors, omissions, outdated information, or other inaccuracies.

General website information should not be considered a substitute for applicable product documentation, final order documentation, approved production documentation, installation instructions, warranty documentation, or professional advice where such documentation or advice is required.

We reserve the right to modify website content, products, specifications, descriptions, and other information as appropriate, subject to applicable law and existing accepted orders.

SECTION 5 — PRICING, PROMOTIONS, AVAILABILITY & ORDER ACCEPTANCE

All prices are displayed in U.S. dollars unless otherwise stated.

Prices, promotions, product availability, configurations, options, and offers may change without notice before an order is placed.

Court Builder pricing and website pricing are based on the selections and information available at the time the configuration is created. Changes to court dimensions, products, colors, game lines, markings, logos, accessories, shipping information, or other order requirements may affect the final price.

Quotes are valid only for the period expressly stated in the applicable quote. If no validity period is stated, a quote does not guarantee indefinite pricing or product availability.

Submission of an order, payment authorization, automated confirmation, or acknowledgment does not necessarily constitute final acceptance of an order by 123COURTS.

123COURTS may review orders for material pricing errors, configuration issues, product availability, shipping limitations, suspected fraud, payment issues, or other material problems before final acceptance or production.

If a material pricing, configuration, availability, or order error is identified, 123COURTS may contact the customer to correct the order or, where appropriate, cancel and refund the affected order in accordance with applicable law and 123COURTS policies.

SECTION 6 — PRODUCTS, COURT KITS & MADE-TO-ORDER PRODUCTS

All 123COURTS courts are made to order.

Court kits and configured court products may be manufactured or prepared based on the customer's selected product, court size, colors, game lines, markings, edge configuration, logos, artwork, and other applicable options.

Production may be based on customer selections made through the Court Builder, an approved quote, order documentation, approved artwork or court design, or other written specifications associated with the order.

Because these products are made or configured specifically for an order, cancellation, modification, return, and refund rights are subject to these Terms and the applicable 123COURTS Return & Refund Policy.

Product availability and manufacturing capabilities may change from time to time.

123COURTS reserves the right to discontinue or modify products, options, specifications, or configurations for future orders.

SECTION 7 — COURT BUILDER, APPROXIMATE DIMENSIONS & VISUALIZATIONS

The 123COURTS Court Builder is an online configuration and quoting tool designed to help customers select and visualize certain court sizes, surfaces, colors, game lines, markings, options, and other available configurations.

Court dimensions displayed or selected in the Court Builder are approximate.

Final manufactured court dimensions and resulting installed dimensions may vary slightly from dimensions selected in the Court Builder due to modular tile sizing, tile dimensions, layout requirements, game-line positioning, edge components, and other production or installation considerations.

Game lines, markings, colors, proportions, court layouts, graphics, and other elements displayed in the Court Builder are provided for visualization and configuration purposes only and may not represent the exact positioning, scale, color, proportion, or appearance of the finished court.

Final game lines and markings will be positioned and applied according to the approved court design and applicable specifications.

Where customer approval of a final court design, layout, artwork, logo, color selection, or other production detail is required, the applicable approved production documentation will control over preliminary Court Builder visualizations.

Customers are responsible for ensuring that adequate space and clearance are available for the selected court configuration, including appropriate clearance around the court perimeter for installation and normal tile expansion and contraction.

Customers should not rely solely on Court Builder dimensions or visualizations when determining site dimensions, construction requirements, base dimensions, setbacks, clearances, or other site-specific requirements.

Court kits include the modular court surface and only those components specifically identified as included in the customer's selected configuration or applicable order documentation.

Hoops, posts, nets, lighting, rebounders, fencing, installation, site preparation, base construction, and other equipment, accessories, or services are not included unless specifically stated as included in the applicable order.

All courts are made to order. The estimated lead time is generally 6–8 weeks following the order and completion of any required design, layout, color, game-line, logo, artwork, or other applicable approvals. Delivery timing may vary based on production schedules, destination, carrier transit, and other applicable factors.

Additional lead-time and delivery provisions are governed by the applicable 123COURTS Shipping & Delivery Policy.

SECTION 8 — IMAGES, COLORS & VISUAL REPRESENTATIONS

Images displayed on the 123COURTS website may include a combination of actual product photography, real project or installation photography, digital renderings, conceptual images, lifestyle imagery, and other illustrative representations.

These images are provided for general reference, visualization, and marketing purposes only and are not intended to guarantee the exact appearance, configuration, dimensions, layout, installation environment, or final result of any product or completed court.

123COURTS makes reasonable efforts to represent its products, colors, textures, court surfaces, game lines, markings, dimensions, specifications, and other visual details accurately.

However, actual products and completed installations may vary from website images due to manufacturing processes, modular tile sizing, production variations, installation conditions, lighting, surrounding environments, photography, image processing, product updates, and other factors.

Colors displayed on a screen are representations only.

Color appearance may vary depending on the customer's monitor, mobile device, display technology, screen settings, brightness, color calibration, browser, lighting conditions, and other factors. Accordingly, 123COURTS cannot guarantee that colors displayed digitally will exactly match the physical color of the product received.

Where color selection is material to a customer's project, customers should evaluate available physical product samples when appropriate before making a final selection.

Minor variations in color, texture, finish, or appearance consistent with normal manufacturing processes do not necessarily constitute a product defect.

Illustrative or conceptual images may depict equipment, accessories, landscaping, structures, lighting, fencing, hoops, posts, nets, furnishings, or other items for context or visualization.

Such items are not included with a court kit unless specifically identified as included in the customer's configuration, order, or applicable product documentation.

Final product specifications and components included with an order are determined by the applicable product information, approved court configuration, order documentation, and final production documentation—not solely by website photography, renderings, conceptual imagery, or other visual representations.

SECTION 9 — CUSTOMER MEASUREMENTS, SITE CONDITIONS & PRODUCT SUITABILITY

Customers are responsible for verifying the dimensions, condition, accessibility, drainage, grade, supporting surface, clearances, and other relevant characteristics of the intended installation area before ordering.

Measurements entered, selected, submitted, or otherwise provided by a customer are the customer's responsibility unless 123COURTS expressly agrees otherwise in writing.

Court Builder dimensions are approximate and should not be used as construction drawings or as the sole basis for constructing a concrete slab, asphalt pad, pervious base, containment system, or other supporting surface.

Customers should independently verify required dimensions before constructing, modifying, or committing to any permanent supporting surface, containment system, surrounding improvement, or other site work.

Customers and their installers are responsible for confirming that the selected court configuration is appropriate for the available installation area and for allowing adequate perimeter clearance for installation and normal expansion and contraction of the modular surface.

The customer is responsible for determining the suitability of the installation site and supporting surface for the intended product and use.

SECTION 10 — COURT DESIGNS, ARTWORK & CUSTOMER APPROVALS

Certain orders may require customer approval of a court design, layout, game-line configuration, logo, artwork, color selection, or other production documentation before production begins or continues.

Customers are responsible for carefully reviewing approval materials before providing approval, including applicable spelling, logos, artwork, colors, court orientation, game lines, markings, dimensions, and other displayed specifications.

Once a customer approves final production documentation, 123COURTS may rely on that approval to manufacture or prepare the order.

Changes requested after approval may not be possible and, when possible, may result in additional charges, production delays, revised estimated delivery timing, or additional approvals.

Customer approval of production documentation does not pause, restart, extend, or otherwise modify the applicable cancellation period or other provisions of the Return & Refund Policy.

SECTION 11 — CUSTOMER LOGOS, ARTWORK & CUSTOM MATERIALS

Customers may have the option to submit logos, trademarks, names, graphics, artwork, designs, files, or other materials for incorporation into a custom court or made-to-order product.

By submitting such material to 123COURTS, the customer represents and warrants that the customer owns the material or possesses all rights, licenses, permissions, and authorizations necessary for its intended use.

The customer grants 123COURTS and its applicable suppliers and service providers a limited, non-exclusive right to use, reproduce, format, resize, adapt, transmit, and otherwise process submitted materials solely as reasonably necessary to prepare, manufacture, fulfill, and support the applicable order.

Submission of customer artwork does not transfer ownership of the customer's intellectual property to 123COURTS.

123COURTS reserves the right to decline to reproduce submitted material that may violate applicable law, infringe third-party rights, or otherwise be inappropriate for production.

Customers are responsible for claims arising from materials supplied by them where they did not possess the necessary rights or permissions.

Artwork and custom elements may require reasonable technical adjustments to accommodate modular tile geometry, production methods, available colors, court dimensions, scaling, game-line placement, or other manufacturing requirements.

Where customer approval is required, the final approved production documentation will control over preliminary artwork, uploads, concepts, quotes, or visualizations.

SECTION 12 — ORDER MODIFICATIONS

Requests to modify an order are subject to review and are not guaranteed to be accepted.

The ability to modify an order depends on its status, production progress, configuration, product requirements, and other applicable factors.

Approved modifications may result in additional charges, production delays, revised estimated delivery timing, or additional customer approvals.

A request to modify an order does not pause, extend, restart, or otherwise alter the original 48-hour cancellation period measured from the time the order was placed.

Submitting a modification request does not constitute cancellation of an order.

SECTION 13 — CANCELLATION, RETURNS & FINAL SALE

123COURTS products, including court kits and configured court products, are made to order.

Cancellation, return, refund, and order-modification rights are governed by the applicable 123COURTS Return & Refund Policy, which is incorporated into these Terms by reference.

A customer may request cancellation within 48 hours after the order is placed.

Any cancellation approved during this period is subject to a 10% cancellation fee based on the total order amount.

After the 48-hour cancellation period has expired, the order may not be cancelled or returned, all payments are non-refundable, and the sale is final, except where otherwise required by applicable law or expressly provided under another applicable 123COURTS policy.

A request to modify an order does not pause, extend, restart, or otherwise alter the original 48-hour cancellation period.

Customer preference changes, buyer's remorse, changes in project plans, installation decisions, or similar circumstances do not create a right to cancel or return an order after the applicable cancellation period.

Final Sale provisions do not eliminate procedures expressly provided under applicable 123COURTS policies for verified shipping damage, shortages, incorrect merchandise, order discrepancies, or valid product warranty claims.

Refusing delivery does not constitute an authorized cancellation or return and does not eliminate the customer's obligations under the order or applicable 123COURTS policies.

SECTION 14 — SHIPPING & DELIVERY

Orders are shipped and delivered in accordance with the applicable 123COURTS Shipping & Delivery Policy, which is incorporated into these Terms by reference.

Unless expressly stated otherwise, production, shipping, delivery, and transit dates are estimates and are not guaranteed.

Production schedules, destination, carrier operations, weather, transportation conditions, accessibility, and other circumstances may affect actual delivery timing.

For made-to-order court products, the estimated lead time is generally 6–8 weeks following the order and completion of any required design, layout, color, game-line, logo, artwork, or other applicable approvals.

Delivery timing may vary based on production schedules, destination, carrier transit, and other applicable factors.

Customers are responsible for providing complete and accurate shipping information and complying with applicable delivery, access, inspection, receipt, and reporting requirements contained in the Shipping & Delivery Policy.

Freight carriers and other transportation providers are independent third parties.

The applicable Shipping & Delivery Policy governs delivery procedures, customer responsibilities, freight requirements, shipping damage, shortages, delivery discrepancies, and related claims.

SECTION 15 — INSTALLATION, BASE PREPARATION & SITE RESPONSIBILITY

123COURTS is a product seller and is not an installation contractor. 123COURTS does not provide installation services for products sold through 123COURTS.

Installation is the responsibility of the customer and/or the independent installer, contractor, or other professional selected by the customer.

Customers are responsible for selecting, hiring, supervising, and paying any installer, contractor, engineer, designer, or other professional required for their project.

Customers and their installers are responsible for confirming that the installation site and supporting surface are suitable for the applicable product and intended use and for performing all necessary site preparation, grading, drainage, base construction, concrete, asphalt, pervious-base preparation, containment, leveling, clearance, and other work required for proper installation.

Installation must be performed in accordance with applicable product documentation, installation instructions, specifications, safety requirements, and applicable laws, codes, regulations, permitting requirements, and other requirements applicable to the project.

Customers are responsible for determining whether professional installation, engineering, permitting, inspections, or other professional services are required for their project or jurisdiction.

Any installation instructions, guides, recommendations, technical information, or support provided by 123COURTS are intended to assist with the proper use and installation of the product and do not constitute the performance, supervision, certification, inspection, or acceptance of installation work by 123COURTS.

123COURTS does not provide or assume any warranty for installation labor or workmanship performed by the customer or any independent third party.

Any warranty relating to installation labor or workmanship is solely between the customer and the person or company performing the installation.

To the fullest extent permitted by applicable law, 123COURTS is not responsible for claims, losses, damages, injuries, accidents, property damage, product damage, performance issues, code violations, installation defects, or other consequences arising out of or relating to improper installation, inadequate site preparation, unsuitable base conditions, failure to follow applicable installation requirements, failure to provide appropriate clearance, failure to comply with applicable codes or safety requirements, or the acts or omissions of the customer or an independent third party.

By purchasing products from 123COURTS, the customer acknowledges and accepts the risks and responsibilities associated with installation and, to the fullest extent permitted by applicable law, voluntarily releases and holds harmless 123COURTS and its officers, employees, and representatives from claims arising out of or relating to installation work performed by the customer or independent third parties, except to the extent liability cannot lawfully be excluded or waived.

Purchasing products from 123COURTS does not create a contractor, subcontractor, agency, employment, partnership, or joint-venture relationship between 123COURTS and any installer or contractor independently selected by the customer.

SECTION 16 — NO ARCHITECTURAL, ENGINEERING OR PROFESSIONAL SERVICES

Unless expressly agreed otherwise in a separate written agreement, information, drawings, layouts, dimensions, specifications, installation guidance, technical information, Court Builder visualizations, and other materials provided by 123COURTS are product-related resources and do not constitute architectural, engineering, structural, permitting, code-compliance, or other licensed professional services.

Customers are responsible for obtaining any architect, engineer, contractor, permit, inspection, or other professional service required for their particular project or jurisdiction.

Court layouts or production documentation provided in connection with an order should not be interpreted as stamped architectural or engineering plans unless expressly identified as such by an appropriately licensed professional.

SECTION 17 — PRODUCT SPECIFICATIONS & MANUFACTURING VARIATIONS

123COURTS makes reasonable efforts to accurately describe product dimensions, characteristics, specifications, colors, and performance-related information.

Modular sports flooring products may exhibit reasonable manufacturing variations in dimensions, color, texture, finish, appearance, or other characteristics.

Products manufactured at different times or in different production lots may exhibit reasonable variations.

Product specifications may be updated or modified for future production as products and manufacturing processes evolve.

The specifications and approved production documentation applicable to a customer's order will govern that order where applicable.

SECTION 18 — PRODUCT WARRANTIES

Any warranty made available through 123COURTS applies solely to the applicable product and is governed exclusively by the warranty document applicable to that product.

All warranty claims must be initiated through 123COURTS and must be submitted and processed in accordance with the procedures and requirements contained in the applicable product warranty document.

Product warranty eligibility is subject to the applicable warranty document, including any requirements concerning proper installation of the product.

Customers are responsible for reviewing and complying with the applicable product warranty document.

123COURTS does not provide an installation or workmanship warranty.

The applicable product warranty document controls all matters concerning warranty coverage, eligibility, requirements, limitations, exclusions, claim procedures, and available remedies.

These Terms of Use do not modify, expand, replace, or independently define product warranty coverage.

SECTION 19 — REPLACEMENT COMPONENTS

Replacement tiles, edge components, and other replacement parts may be available for certain 123COURTS products.

Availability is not guaranteed and may depend on the product, model, color, manufacturing specifications, production status, inventory, and other factors at the time of the request.

Replacement components manufactured or supplied at a later date may exhibit reasonable variations in color or appearance compared with previously installed products due to manufacturing lots, product updates, age, exposure, use, weathering, or other factors.

Customers requiring replacement components should contact 123COURTS with the applicable order and product information so available options can be evaluated.

Availability or purchase of replacement components does not modify the terms of any applicable product warranty.

SECTION 20 — PROFESSIONAL, CONTRACTOR, DEALER & WHOLESALE PURCHASES

123COURTS may offer products, pricing, programs, or purchasing opportunities to contractors, installers, architects, engineers, designers, dealers, resellers, facilities, organizations, and other professional or commercial customers.

Eligibility for any professional, contractor, dealer, reseller, or wholesale program, pricing, discount, account status, territory, or other benefit is subject to applicable program terms and approval by 123COURTS.

Submission of an inquiry, partnership request, Pro Support request, account application, or purchase does not automatically establish dealer, reseller, distributor, contractor, agent, representative, exclusive territory, or other special status with 123COURTS.

Unless expressly agreed in a separate written agreement, no professional purchaser, contractor, dealer, reseller, installer, or other third party has authority to make representations, warranties, commitments, or obligations on behalf of 123COURTS.

No geographic territory, market, customer group, product category, or other exclusivity is granted by 123COURTS unless expressly stated in a separate written agreement authorized by 123COURTS.

SECTION 21 — PAYMENT & BILLING INFORMATION

Customers agree to provide current, complete, and accurate billing, payment, shipping, contact, and account information for purchases.

Customers represent that they are authorized to use the payment method submitted for an order and authorize applicable charges associated with that order.

Orders may be subject to payment verification, fraud review, authorization, or other reasonable transaction-security procedures.

A payment authorization, pending transaction, automated order confirmation, or acknowledgment does not necessarily constitute final acceptance of an order by 123COURTS.

123COURTS reserves the right, where permitted by applicable law, to refuse or cancel transactions involving material payment errors, suspected unauthorized activity, suspected fraud, or other material transaction problems.

SECTION 22 — PAYMENT DISPUTES

Customers should contact 123COURTS promptly regarding questions or concerns about an order, charge, shipment, product, or transaction so the matter can be reviewed through the applicable customer-service, shipping, return, or warranty process.

Initiating a payment dispute does not independently cancel an order, create a right of return or refund, or modify the customer's obligations under these Terms or applicable 123COURTS policies.

Nothing in these Terms limits rights or remedies that cannot lawfully be waived.

SECTION 23 — OPTIONAL & THIRD-PARTY TOOLS

123COURTS may provide access to third-party applications, payment services, software, configuration tools, communication tools, or other services that 123COURTS does not directly control.

Third-party tools may be governed by their own terms, privacy policies, and operating requirements.

Use of such tools is subject to the applicable third-party terms and any additional terms disclosed by 123COURTS.

123COURTS may introduce additional website features, tools, integrations, or resources in the future, which may also be subject to these Terms.

SECTION 24 — THIRD-PARTY LINKS

The website may contain links to websites or resources operated by third parties.

123COURTS is not responsible for controlling, maintaining, or guaranteeing the content, availability, accuracy, privacy practices, products, or services of independent third-party websites.

Customers should review applicable third-party policies and terms before engaging in transactions or providing information through third-party websites.

SECTION 25 — USER SUBMISSIONS & OTHER MATERIALS

Customers and website users may submit inquiries, reviews, feedback, project information, photographs, files, specifications, suggestions, or other materials to 123COURTS.

Users are responsible for ensuring that materials they submit are lawful and do not violate the intellectual property, privacy, publicity, or other rights of third parties.

Nothing in this section transfers ownership of customer-owned logos, artwork, or other intellectual property to 123COURTS.

Customer logos, artwork, and custom materials submitted for an order are governed by Section 11 of these Terms.

123COURTS may use ordinary customer communications and submitted information as reasonably necessary to respond to requests, administer orders, provide customer service, process claims, and otherwise conduct the applicable transaction, subject to the Privacy Policy and applicable law.

SECTION 26 — PERSONAL INFORMATION

Submission and processing of personal information through the website are governed by the applicable 123COURTS Privacy Policy.

Customers and users should review the Privacy Policy for information regarding applicable collection, use, processing, disclosure, and other handling of personal information.

SECTION 27 — ERRORS, INACCURACIES & OMISSIONS

The website or related materials may occasionally contain typographical errors, inaccuracies, omissions, or other errors involving product descriptions, dimensions, images, specifications, pricing, promotions, availability, shipping charges, estimated timing, configurations, or other information.

123COURTS reserves the right to correct errors, inaccuracies, or omissions and to update information as reasonably necessary.

Where a material error affects an order, 123COURTS may contact the customer to correct the order or take other appropriate action consistent with applicable law and 123COURTS policies.

SECTION 28 — PROHIBITED USES

Users may not use the website, Court Builder, content, products, or related services:

  • for unlawful or fraudulent purposes;
  • to violate applicable laws or regulations;
  • to infringe intellectual property or other rights;
  • to submit false, deceptive, or misleading information;
  • to impersonate another person or misrepresent authority;
  • to transmit malicious software or code;
  • to interfere with website or system security;
  • to scrape, crawl, harvest, or improperly collect information;
  • to gain unauthorized access to systems or accounts;
  • to misuse the Court Builder or other tools;
  • to reproduce or commercially exploit protected website content without authorization; or
  • to engage in conduct that materially interferes with the operation or security of the website or services.

123COURTS may suspend or terminate access for prohibited use.

SECTION 29 — DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

123COURTS does not guarantee that access to the website, Court Builder, or related online services will always be uninterrupted, timely, secure, or error-free.

Website tools and online functionality are provided on an “as available” basis, subject to applicable law.

Except for product warranties expressly provided through applicable warranty documentation or other express written obligations of 123COURTS, and to the fullest extent permitted by applicable law, 123COURTS disclaims warranties that may otherwise arise regarding website functionality or services where such warranties may lawfully be disclaimed.

Nothing in this section modifies or replaces applicable product warranty documentation.

To the fullest extent permitted by applicable law, 123COURTS and its officers, employees, representatives, service providers, and licensors will not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of the website, Court Builder, or products, except where such limitation is prohibited by law.

Installation-related responsibility is additionally governed by Section 15 of these Terms.

Where applicable law does not permit a particular exclusion or limitation of liability, liability will be limited only to the maximum extent permitted by law.

SECTION 30 — INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless 123COURTS and its officers, directors, employees, representatives, agents, service providers, suppliers, and licensors from third-party claims, liabilities, damages, losses, and reasonable costs arising from:

  • your material breach of these Terms;
  • your violation of applicable law or third-party rights;
  • customer-provided logos, artwork, or materials for which you did not possess necessary rights;
  • your unlawful or unauthorized use of the website or services; or
  • acts or omissions for which you are responsible under these Terms.

This section does not require indemnification to the extent prohibited by applicable law.

SECTION 31 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the extent necessary.

The remaining provisions will continue in effect.

SECTION 32 — TERMINATION

These Terms remain effective while you use the website or related services.

You may stop using the website at any time.

123COURTS may suspend or terminate access to the website or related services where a user materially violates these Terms or engages in unlawful, fraudulent, abusive, or harmful conduct.

Termination of website access does not eliminate obligations, liabilities, payment responsibilities, order terms, intellectual property protections, warranty requirements, or other provisions that by their nature survive termination.

SECTION 33 — ENTIRE AGREEMENT & INCORPORATED POLICIES

These Terms, together with applicable policies, product documentation, approved order documentation, and other terms expressly incorporated by reference, constitute the applicable agreement governing use of the website and related transactions, subject to any separate written agreement expressly entered into by 123COURTS.

Applicable incorporated policies and documents may include, as relevant:

  • Return & Refund Policy;
  • Shipping & Delivery Policy;
  • Privacy Policy;
  • applicable Product Warranty Documentation;
  • approved order documentation;
  • final approved production documentation; and
  • other policies or terms expressly identified as applicable.

Where an applicable Product Warranty Document, Shipping & Delivery Policy, Return & Refund Policy, approved order document, or final approved production document specifically governs a particular subject, that document or policy will control that subject to the extent of an actual conflict with these general Terms.

Failure by 123COURTS to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

SECTION 34 — FORCE MAJEURE

123COURTS will not be responsible for delay or failure to perform caused by events beyond its reasonable control, including severe weather, hurricanes, floods, fires, natural disasters, labor disputes, transportation interruptions, carrier delays, supply-chain disruptions, material shortages, manufacturing disruptions, governmental actions, emergencies, pandemics, acts of God, or other circumstances beyond reasonable control.

Such events may affect manufacturing, production, shipping, delivery, availability, or other performance.

SECTION 35 — GOVERNING LAW

These Terms of Use are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles, except to the extent otherwise required by applicable law.

SECTION 36 — CHANGES TO THESE TERMS

The most current version of these Terms may be reviewed on this page.

123COURTS may update, change, or replace portions of these Terms by publishing an updated version on the website.

Changes will apply as permitted by applicable law.

Continued use of the website after applicable changes become effective constitutes acceptance of the revised Terms where permitted by law.

SECTION 37 — ACCEPTANCE OF THESE TERMS

By accessing or using the 123COURTS website, using the Court Builder, requesting a quote, submitting a Contact request, placing an order, approving applicable production documentation, or purchasing a product from 123COURTS, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and the applicable policies and documents incorporated by reference.

If you do not agree with these Terms, do not use the website, Court Builder, or related services or purchase products through 123COURTS.
